Major Companies Object to Shares on New Tokenized Stock Venue, Citing Regulatory Pathway

A growing number of major corporations, including Walmart, Eli Lilly, Cigna Group, Carnival, and Arcos Dorados, have formally objected to their shares being offered on a new tokenized stock trading venue (TSV) operated by OKX and ICE. This corporate resistance is utilizing a regulatory pathway provided by the U.S. Securities and Exchange Commission (SEC) to prevent their stock from being traded on the platform.

Growing Corporate Pushback
The objections, made under the SEC’s innovation exemption, mean that the OKX-ICE TSV cannot make the shares of these objecting companies available for trading. According to an updated notice from the venue on Wednesday, the total number of companies that have formally objected has reached 38. This marks a significant increase from previous days, with 33 companies having objected the day before, including notable names like JPMorgan Chase, Coca-Cola, and Dell. The number of objectors has more than quadrupled since the venue’s initial list of nine objectors on October 15.

Broadening Resistance Across Sectors
The latest wave of objections broadens the pushback beyond technology and finance sectors into retail, healthcare, and travel. Arcos Dorados, the largest McDonald’s franchisee in Latin America, joins McDonald’s itself, which had previously objected. In the healthcare sector, Eli Lilly and Cigna Group are now listed alongside UnitedHealth Group and Moderna.

The Regulatory Shield: SEC’s Innovation Exemption
The SEC’s innovation exemption, unveiled in September, allows a tokenized stock venue to notify companies before offering a tokenized version of their shares by an unaffiliated third party. Companies then have a 30-day period from receiving this notice to object in writing. If an objection is filed within this timeframe, the venue is prohibited from trading those specific shares. According to the SEC’s order, such an objection applies only to the specific venue that received the notice.

Venue Operations and Limitations
The OKX-ICE TSV is a joint venture between Intercontinental Exchange (ICE), the owner of the New York Stock Exchange, and OKX’s U.S. holding company. The venue plans to allow approved users to trade tokenized U.S. stocks on a 24/7 basis. Trades are intended to run through permissioned Uniswap v4 pools on OKX’s XLayer blockchain, paired with stablecoins such as USDC.

The SEC’s exemption places certain limitations on the venue. It can list up to 75 of the largest, most liquid stocks, with trading volume capped at 0.25% of each stock’s average daily volume. Additionally, the venue can list up to 250 other stocks, with a trading limit of 2.5% of their average daily volume.

Uncertainty and Future Outlook
The reasons behind these corporate decisions are not disclosed in the notices. Furthermore, the list of objecting companies may not be complete. Under the SEC’s order, companies have 30 days to object after notification, and some of the market’s most heavily traded stocks, including Nvidia, Tesla, Apple, and Amazon, have not yet formally objected. The venue has also indicated the possibility of listing shares tokenized directly by the issuers, which would grant companies more direct control over their on-chain stock representation, though no such listings have been identified.

The current situation highlights significant corporate resistance to new tokenized stock trading venues, leveraging existing regulatory frameworks to manage their participation in emerging digital asset markets. The ongoing objections and the potential for more indicate a complex interplay between financial innovation and established corporate governance.
