Tesla, SpaceX Exploring Potential Merger to Consolidate Bitcoin Holdings

Tesla and SpaceX are reportedly exploring a potential merger that could consolidate their combined Bitcoin holdings under a single corporate entity. The companies have formed special committees of independent directors to study the idea, though no deal is currently in place and shareholder approval would be required for any such transaction.

SpaceX disclosed its Bitcoin holdings in a June IPO filing, reporting 18,712 BTC. Tesla, in a filing this week, reported holding 11,509 BTC. Combined, these holdings amount to approximately 30,221 BTC, currently valued at around $2.5 billion. This consolidation would not involve new purchases of the cryptocurrency, as the assets are already held by the respective companies.

Elon Musk discussed the potential merger during SpaceX’s earnings call on Tuesday. He indicated that while he believes a merger would make sense, significant hurdles remain, including reaching an agreement on terms and securing shareholder approval. Musk described shareholder approval as a “high hurdle” for Tesla.

Tesla has a history of Bitcoin transactions. The electric vehicle manufacturer first disclosed a $1.5 billion purchase of Bitcoin in February 2021, aiming to diversify its cash reserves. Shortly after, in April 2021, Tesla sold 10% of its holdings for $272 million, a move Musk stated was intended to demonstrate Bitcoin’s liquidity as an alternative to cash. In July 2022, Tesla sold 75% of its remaining Bitcoin, generating $936 million. Musk explained this sale was to preserve cash amid uncertainty related to China’s COVID-19 lockdowns.

Prominent trader Scott Melker commented on Tesla’s remaining Bitcoin position, suggesting that holding the asset can be “uneventful even when the accounting isn’t.” He also noted that a merger between Tesla and SpaceX would consolidate existing ownership rather than create new demand for Bitcoin, as it would not take additional supply off the market. Melker added that neither company has signaled intentions to buy or sell more Bitcoin. If a merger proceeds, he expressed interest in management’s strategy for the combined holdings, but views the simple addition of balances as not inherently a bullish indicator for the cryptocurrency.
