Cameron and Tyler Winklevoss have unveiled plans for a spot Zcash Exchange Traded Fund (ETF), leveraging the stage at Token2049 in Singapore to promote the new venture. The proposed fund, managed by Winklevoss Asset Services, a newly established issuer, comes just a day after the submission of preliminary paperwork to the U.S. Securities and Exchange Commission (SEC).

SEC Filing Initiates ETF Process

On October 6, 2026, a preliminary S-1 registration statement was filed with the SEC. This document is the formal step companies take to register securities. A preliminary filing indicates that the registration process has commenced, though it is not yet complete. The proposed ETF is slated to be listed on Nasdaq under the ticker symbol WINK.

Spot Structure and Investor Benefits

The fund is designed as a spot product, meaning it will directly hold ZEC, the native token of the Zcash network, rather than relying on futures or other derivatives for price exposure. This structure allows investors to gain exposure to ZEC’s price movements without the complexities of managing digital wallets or private keys.

Aggressive Fee Structure Challenges Incumbent

Winklevoss Asset Services has set an annual sponsor fee of 0.25% for the proposed ETF. This aggressive pricing strategy directly challenges Grayscale’s existing Zcash ETF, which trades as ZCSH and carries a significantly higher fee of 2.5% – ten times the proposed rate. To illustrate the difference, a hypothetical $10,000 investment held for one year would incur a $25 fee with the Winklevoss fund, compared to $250 with Grayscale’s offering.

In-House Custody and Ecosystem Support

Custody of the fund’s ZEC holdings will be managed internally by Gemini Trust Company, an affiliate of the Winklevoss twins, which will hold the assets in cold storage. The filing also designates Cypherpunk Technologies as the Zcash Ecosystem Partner, responsible for providing protocol information and assisting with coinholder voting.

Winklevoss Capital Fund Signals Strong Interest

The Winklevoss Capital Fund has indicated a non-binding interest in purchasing up to $100 million worth of shares once the ETF launches. This expression of interest serves as a significant signal of confidence in the new product.

Privacy as a Core Theme

Tyler Winklevoss addressed the Token2049 conference on October 7, emphasizing the increasing importance of privacy in the digital asset landscape. Zcash, a cryptocurrency designed for users who prefer to keep their transactions private, aligns with this growing demand. The Winklevoss twins have a long-standing relationship with Zcash, having been early adopters, and Gemini was the first licensed exchange to offer ZEC trading.

Competitive Landscape and Market Dynamics

The Winklevoss proposal marks the third U.S. filing for a spot Zcash ETF. Grayscale’s ZCSH ETF, launched on August 25, 2026, has already garnered substantial traction, attracting over $233 million in inflows and holding nearly $890 million in assets within its first month. ZEC’s performance in 2026 has been robust, fueled by a broader interest in privacy-focused cryptocurrencies.

The introduction of a lower-fee ETF from Winklevoss could ignite a fee war in the Zcash ETF market. While Grayscale benefits from a first-mover advantage and established assets, the Winklevoss fund’s significantly lower fee structure presents a compelling alternative.

Concentrated Ownership and Regulatory Hurdles

The Winklevoss structure involves a degree of concentration, with the sponsor, custodian, and a potential anchor investor all operating within the twins’ sphere of influence. The $100 million expression of interest, while a positive indicator, is not a guarantee of immediate demand and remains non-binding. The ETF must still successfully navigate the SEC’s approval process before trading can commence. The preliminary S-1 filing is the initial step, with subsequent stages typically involving amendments, regulatory inquiries, and exchange listing procedures.
